Paul, Weiss advised Marathon Health in its merger with Everside Health. Both companies are leading providers of advanced primary care and occupational health for employer and union-sponsored clients. The transaction allows the combined organization to deliver advanced primary care, mental health, occupational health, musculoskeletal and pharmacy services to over 2.5 million eligible patients through more than 680 health centers across 41 U.S. states. Through the deployment of a data-driven approach to care and expansion of the organization’s footprint across rural and urban communities, this merger provides patients with enhanced speed to care, improved health outcomes and increased health equity for those who were previously beyond the reach of traditional in-person care. The deal will also help employer and union partners lower their healthcare costs by over 25%. The integration of Marathon Health and Everside Health is expected to be completed within the next 12 months. Paul, Weiss is advising TenCate Grass Holding B.V. and Crestview Partners in the sale of a majority stake in TenCate to Leonard Green & Partners, LP. Paul, Weiss advised Carrier Global Corporation in its strategic acquisition of Viessmann Climate Solutions in a cash-and-stock transaction valued at €12 billion, subject to working capital and other adjustments. Germany-based Viessmann Climate Solutions, the largest segment of Viessmann Group, is a critical leader in Europe’s energy transition and a premium brand in the highest-growth segment of the global heat pump and energy transition markets. The deal marks another step forward in Carrier’s portfolio transformation, further strengthening its global leadership position in intelligent climate and energy solutions. Paul, Weiss is advising Hornblower Group, a global leader in experiences and transportation, in its chapter 11 cases, under which Strategic Value Partners, LLC and its affiliates (SVP) will acquire majority ownership of the company. According to the terms of the deal, existing investor Crestview Partners will retain a significant minority position in Hornblower and become the sole owner of Journey Beyond, a stand-alone operating unit of Hornblower and the leading experiential travel provider in Australia. The agreement also provides Hornblower $121 million in new-money financing from SVP-managed funds and Crestview to support ongoing operations, and a reduction of the company's total debt by approximately $720 million. As part of the transaction, Hornblower and its affiliates have initiated a voluntary court-supervised and pre-arranged chapter 11 process, under which they will sell or wind down operations of its overnight cruising business American Queen Voyages (AQV). The company expects to emerge from chapter 11 on an accelerated basis in approximately four months. In connection with the chapter 11 proceedings, Hornblower has received a commitment of $300 million in debtor-in-possession financing from Deutsche Bank Private Credit & Infrastructure to refinance the company's existing superpriority term loan. Separately, Hornblower has begun ancillary proceedings in Canada under the Companies' Creditors Arrangement Act, seeking recognition of the U.S. chapter 11 proceedings in Canada.
