Global law firm Freshfields is representing Oracle Corporation on its SEC-registered offerings of $50 billion of investment-grade senior unsecured bonds, equity-linked securities and common stock. The offerings include $25 billion aggregate principal amount of senior notes, in eight tranches with maturity dates ranging from 2029 to 2066, and $5 billion in depositary shares representing mandatory convertible preferred stock, as well as a newly authorized at-the-market equity program of up to $20 billion. These transactions are part of Oracle’s 2026 funding plan to raise capital to fund the buildout of additional capacity to support its Oracle Cloud Infrastructure business. Oracle offers integrated suites of applications plus secure, autonomous infrastructure in the Oracle Cloud.
