Milbank LLP represented the banks in connection with a $3.2 billion comprehensive financing transaction completed by JetBlue Airways Corporation (NASDAQ: JBLU) (“JetBlue”), comprised of loans and notes collateralized by JetBlue’s loyalty program, TrueBlue, as well as an equity-linked convertible notes offering. The loyalty financing, JetBlue’s first, consisted of a $2 billion senior secured bond and a $765 million term loan, each backed by TrueBlue. The company concurrently issued a $460 million unsecured convertible note. Milbank advised the banks as initial purchasers in connection with the bond offerings and the agent in connection with the loans. Milbank LLP has advised Lumina Capital Management in connection with the refinancing of New Fortress Energy Inc.’s (NASDAQ: NFE) business in Brazil, which comprises an integrated portfolio of LNG terminals and downstream gas/power projects. The proceeds from the financing will be used to repay certain indebtedness and to finance NFE’s new LNG-related projects in Brazil. “We are pleased to advise Lumina again on another important financing for NFE, which sets industry standards in the region and globally through its LNG-to-power business model,” said Dan Bartfeld, Chair of the firm’s Global Project, Energy and Infrastructure Finance Group. “Lumina continues to be increasingly active in structured financings in Latin America, and we are honored to continue to advise them on the most innovative financings impacting the region,” added São Paulo-based Corporate Finance and Securities partner Tobias Stirnberg. Milbank LLP advised Tract Capital, a leading alternative asset manager focused on building companies that enable rapid scaling of digital infrastructure, and its portfolio company Fleet Data Centers, a developer and operator of mega-scale, single-user data center campuses, in connection with the closing of an upsized $3.8 billion offering of secured notes by its wholly-owned subsidiary. The offering was completed through a private placement to qualified institutional buyers pursuant to Rule 144A and outside the United States pursuant to Regulation S under the Securities Act. The proceeds from the notes will be used to finance a portion of the development and construction of a 230 MW utility capacity (200 MW critical IT capacity) turnkey hyperscale data center and electrical substation on a 252-acre site in Storey County, Nevada. The facility is fully leased under a long-term triple-net lease to an investment grade-rated hyperscale tenant. The transaction represents the largest digital infrastructure high-yield note offering to date and underscores continued capital markets demand for AI-driven data center assets supported by long-term contracted cash flows. “This transaction reflects the increasing convergence of capital markets and large-scale digital infrastructure development,” said Corporate Finance and Securities partner and practice group leader Jonathon Jackson. “Investors continue to show strong appetite for well-structured, asset-backed financings tied to hyperscale capacity, and this deal demonstrates how sophisticated capital solutions are evolving to meet the scale and speed of AI-driven infrastructure buildouts.” The Milbank team was led by Mr. Jackson and included Real Estate partner Alex Meirowitz, Global Project, Energy and Infrastructure Finance chair Dan Bartfeld and partner Jaime Ramirez and Corporate Finance and Securities partner Adam Brenneman. Milbank LLP advised the initial purchasers in connection with an upsized $2.1 billion senior notes offering by Albertsons Companies, Inc., Safeway Inc., New Albertsons L.P., Albertsons LLC and Albertsons Safeway LLC. The dual tranche notes offering consists of Albertsons’ $1.2 billion aggregate principal amount of new 5.625% senior notes due 2032 and $900 million aggregate principal amount of Albertsons’ additional 5.750% senior notes due 2034. Albertsons intends to use the proceeds from the offering to redeem in full its $1.35 billion outstanding 4.625% senior notes due 2027 and its $750 million outstanding 5.875% senior notes due 2028. Albertsons Companies is one of the largest food and drug retailers in the United States, with over 2,200 stores in 35 states and the District of Columbia. Its well-known banners include Albertsons, Safeway, Vons, Jewel-Osco, Shaw's, Acme, Tom Thumb, Randalls, United Supermarkets, Pavilions, Star Market, Haggen, Carrs, Kings Food Markets and Balducci's Food Lovers Market. Albertsons Companies supports its stores with 22 distribution centers and 19 manufacturing facilities.
