OSI Systems, Inc. (NASDAQ: OSIS), a vertically integrated designer and manufacturer of specialized electronic systems and components, has announced the pricing of its offering of US$300 million aggregate principal amount of 2.25% convertible senior notes due 2029 in a private offering. The offering size was increased from the previously announced offering size of US$275 million aggregate principal amount of notes. The issuance and sale of the notes are scheduled to settle on July 19, 2024, subject to customary closing conditions. OSI also granted the initial purchasers of the notes an option to purchase, for settlement within a period of 13 days from, and including, the date the notes are first issued, up to an additional US$50 million principal amount of notes. Arrow used the proceeds from the offering to redeem all of Arrow's 6.125% notes due 2026. The notes were rated Baa3 by Moody’s, BBB- by S&P Global, and BBB- by Fitch. Varex Imaging, Corp., a leading innovator, designer, and manufacturer of X-ray imaging components, has announced the pricing of its offering of US$175 million aggregate principal amount of its 4% Convertible Senior Notes due 2025 in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act. In connection with the offering, Varex granted the initial purchasers a 13-day option to purchase, for settlement within a period of 13 days from, and including, the date notes are first issued, up to an additional US$25 million aggregate principal amount of notes. Varex estimates that the net proceeds from the offering will be US$169 million (or US$193.3 million if the initial purchasers exercise their option to purchase additional notes in full), after deducting the initial purchasers’ discounts and commissions and estimated offering expenses. The offering is expected to close on June 9, 2020, subject to customary closing conditions. The San Manuel Band of Mission Indians (San Manuel or the Tribe) and the San Manuel Gaming and Hospitality Authority (SMGHA) have announced a definitive agreement for a subsidiary of SMGHA to acquire the Palms Casino Resort in Las Vegas, Nevada from Red Rock Resorts, Inc. The transaction is expected to close later in 2021, subject to the receipt of regulatory approvals and other customary closing conditions.
