Paul, Weiss advised iRobot on its comprehensive restructuring, pursuant to which Shenzhen PICEA Robotics Co., Ltd. and Santrum Hong Kong Co., Limited, collectively known as Picea, iRobot’s secured lender and a global manufacturer and service provider of robotic vacuum cleaners, acquired all equity interests in iRobot. The transaction marks iRobot’s successful emergence from its prepackaged chapter 11 process with an improved financial foundation and additional capacity to invest in the next generation of smart home robotics. Financial details were not disclosed. Paul, Weiss is advising Allied Gold Corporation, a Canadian-based gold producer, in its all-cash acquisition by Hong Kong-based Zijin Gold International Company Limited for an equity value of approximately $4 billion (C$5.5 billion). The deal is expected to close by late April, subject to customary closing conditions. Paul, Weiss is advising General Atlantic as lead investor in a $365 million strategic growth investment in Hostaway, an all-in-one vacation rental software and management system. Under the terms of the agreement, General Atlantic will partner with Hostaway, alongside existing investor PSG Equity, to further propel Hostaway’s growth strategy, including international expansion, product development and AI initiatives. Upon completion of the transaction—the largest to date in Hostaway’s market segment—General Atlantic will become a significant minority shareholder in Hostaway. Paul, Weiss advised Brookfield Asset Management in connection with the chapter 11 cases of PosiGen, a national residential solar and energy efficiency provider. Brookfield, which held $600 million of the company’s debt, provided prepetition bridge financing and post-petition debtor-in-possession financing to PosiGen and ultimately acquired substantially all of PosiGen’s assets through a combination of a bankruptcy sale of the chapter 11 debtors’ assets and a strict foreclosure on their non-debtor affiliates’ assets. The U.S. Bankruptcy Court for the Southern District of Texas approved PosiGen’s chapter 11 plan, providing for a litigation trust in which Brookfield holds a majority of the beneficial interests. Paul, Weiss also advised Brookfield affiliates in related litigation filed by Connecticut Green Bank in Connecticut federal court prior to PosiGen’s chapter 11 filing on November 24, 2025. That case was dismissed with prejudice on February 10 following a settlement. Paul, Weiss is advising Arizona Sonoran Copper Company on its all-stock take-private acquisition by Hudbay Minerals Inc., a copper-focused mining company with operations in Canada, Peru and the United States. Under the agreement, Hudbay will acquire all ASCU shares that it doesn’t already own for a consideration of 0.242 of a Hudbay common share per ASCU common share, an equity value of $1.5 billion. Upon closing, expected in the second quarter of 2026, Hudbay will own all of ASCU’s Cactus project in Arizona and ASCU will be delisted from the Toronto Stock Exchange.
