Freshfields Bruckhaus Deringer (‘Freshfields’) is advising IMAX Corporation, a leading entertainment technology company listed on the New York Stock Exchange, on its proposed privatisation of IMAX China Holding, Inc. by way of a Cayman scheme of arrangement. Under the transaction, IMAX Corporation will make an offer for the 96.3 million shares of IMAX China that it does not already own. An offer will also be made to holders of IMAX China’s share incentives. The total consideration is approximately US$124m in cash. Upon the scheme becoming effective, IMAX China will become a wholly-owned subsidiary of IMAX Corporation and will be delisted from the Hong Kong Stock Exchange. The transaction is subject to various conditions, including independent shareholder approval and Cayman court sanction. Completion is expected by the end of this year. IMAX China is an entertainment company specialising in digital and film-based motion picture technologies. Freshfields also advised on its listing on the Hong Kong Stock Exchange in 2015. Freshfields Bruckhaus Deringer (‘Freshfields’) has advised Li & Fung Limited (‘Li & Fung’), a leading global supply chain solutions provider, and Temasek, Singapore’s sovereign wealth fund, on their sale of LF Logistics Holdings Limited (‘LF Logistics’) to A.P. Moller - Maersk for an enterprise value of US$3.6bn. The transaction was entered into in December 2021 and closed today (31 August 2022) after receiving all of the requisite regulatory approvals. LF Logistics, with its Asia-Pacific wide footprint and industry-leading fulfilment capabilities, will play a critical role in advancing Maersk’s strategic intent to support customers’ end-to-end supply chain needs. Freshfields Bruckhaus Deringer (‘Freshfields’) has advised Micro Connect, a new financial market platform, on the launch of Micro Connect Macao Financial Assets Exchange (‘MCEX’). MCEX is the first-ever licensed global exchange for Daily Revenue Obligations (‘DROs’), a new asset class that connects global capital with micro and small businesses in China. The goal of the platform is to make global capital more accessible and affordable to business owners, and give global investors direct and diversified exposure to the daily cash flows of the millions of stores that form part of China’s consumer economy. The first offering of DROs on MCEX took place on 25 March 2023.
