Paul, Weiss advised iRobot on its comprehensive restructuring, pursuant to which Shenzhen PICEA Robotics Co., Ltd. and Santrum Hong Kong Co., Limited, collectively known as Picea, iRobot’s secured lender and a global manufacturer and service provider of robotic vacuum cleaners, acquired all equity interests in iRobot. The transaction marks iRobot’s successful emergence from its prepackaged chapter 11 process with an improved financial foundation and additional capacity to invest in the next generation of smart home robotics. Financial details were not disclosed. The deal includes the acquisition of HS235, a potential best-in-class investigational medicine for the treatment of pulmonary hypertension and pulmonary arterial hypertension. Paul, Weiss is advising General Mills, Inc., in its $1.45 billion acquisition of Whitebridge Pet Brands’ North American premium cat feeding and pet treating business from NXMH, marking General Mills’ fifth acquisition in the pet space. The business includes the Tiki Pets and Cloud Star portfolio of brands. Under the terms of the transaction, General Mills will fund the acquisition with cash on hand and new debt, and will assume operations of two manufacturing facilities in Joplin, Missouri. NXMH will retain Whitebridge’s European business and brands. The deal is expected to close in the third quarter of 2025, subject to regulatory approval and other customary closing conditions. The combination will create a first-of-its-kind vertically integrated quantum platform delivering innovations for customers across the pharmaceutical, finance, and cloud and enterprise computing industries, among others. Following the close of the transaction, expected by the third quarter of 2026 subject to customary closing conditions, SkyWater will operate as a wholly owned subsidiary under the SkyWater name.
