Willkie represented Mitsui & Co., Ltd. in the divestiture of its Kaikias assets in the U.S. Gulf of Mexico to Shell Offshore Inc. On December 14, Mitsui announced that it agreed to divest all of its assets owned through MOEX North America LLC, a wholly owned subsidiary of Mitsui, which holds a 20% interest in the Kaikias field, to Shell, the operator of the Kaikias field. Willkie represents Insight Partners on the proposed sale of its majority stake in AMCS, a global leader in performance and sustainability software to resource-intensive industries, to EQT Private Equity. EQT Private Equity will invest from EQT X, its flagship private equity fund, and EQT Future, its impact-driven, longer-hold fund. Willkie recently advised Sentinel Midstream LLC (Sentinel) on a joint venture investment with ExxonMobil, to form Enercoast Midstream Louisiana LLC, a project company founded to operate certain midstream assets in Louisiana. Sentinel, a midstream solutions provider for crude oil transportation, storage, and terminaling, is a portfolio company of Cresta Fund Management, an investment manager with over $1.4 billion of assets under management funding specialized middle market energy infrastructure opportunities. As part of the transaction, Sentinel will operate significant pipeline systems previously controlled by ExxonMobil. Willkie is representing HealthEquity, Inc., the nation’s largest health savings account (HSA) administrator, in its acquisition of BenefitWallet’s HSA portfolio from Conduent Incorporated, a global technology-led business solutions and services company. On September 19, HealthEquity and Conduent announced that they entered into a definitive agreement to transfer BenefitWallet’s HSA portfolio to HealthEquity for approximately $425 million. HealthEquity serves as the custodian of more than 8.2 million HSAs with assets totaling $23.2 billion. The BenefitWallet HSA portfolio includes approximately 665,000 customer accounts and their approximately $2.7 billion of HSA assets. Willkie previously represented HealthEquity in numerous transactions, including its acquisitions of Luum, Further and WageWorks. Willkie represented Haddington Ventures in connection with the sale of its majority stake in ACES Delta, LLC, the developer of what will be the world’s largest green hydrogen production and storage facility, to Chevron USA Inc. On September 12, Chevron announced that it acquired 100% of Magnum Development, LLC, a Haddington portfolio company and majority owner of ACES Delta, which is a joint venture between Mitsubishi Power Americas, Inc. and Magnum Development. ACES Delta is developing the Advanced Clean Energy Storage project in Delta, Utah, a leading-edge renewable energy hub to produce, store and deliver green hydrogen. The Advanced Clean Energy Storage project plans to use electrolysis to convert renewable energy into hydrogen and will use solution-mined salt caverns to store the energy. Willkie previously represented Haddington Ventures in the creation of a $650 million equity syndication program to finance construction of the ACES Delta project. Haddington Ventures is a private equity firm that oversees a growing portfolio of successful conventional and renewable energy businesses that are bringing innovative new infrastructure to the U.S. energy sector.
