Paul, Weiss is advising Resolute Holdings I, LP, and its affiliates in their acquisition of a majority interest in CompoSecure, Inc., a leader in metal payment cards, security and authentication solutions. The deal marks the first investment by Resolute, an investment firm led by David Cote, executive chairman of Vertiv, and Tom Knott, former head of Permanent Capital Strategies at Goldman Sachs. Under the terms of the transaction, the selling shareholders will exchange the entirety of their class B units and associated class B shares for class A shares, eliminating the current dual-share class structure. The Cote family will make a $372 million investment through Resolute, and Dave Cote will become the executive chairman of the board of directors of CompoSecure. The transaction is expected to close by September 30, subject to customary closing conditions and regulatory approvals. Paul, Weiss advised venture capital firm 776 and Alexis Ohanian, founding controlling shareholder of National Women’s Soccer League (NWSL) team Angel City Football Club, in the sale of a controlling stake in Angel City to Willow Bay and Bob Iger. Bay is dean of the USC Annenberg School for Communication and Journalism, and Iger is CEO of the Walt Disney Company. The transaction has an enterprise value of $250 million and makes Angel City the most valuable women’s sports team in the world. Under the terms of the transaction, Bay will serve on and have full control of Angel City’s board of directors, serve as the controlling owner for NWSL purposes and represent the team on the NWSL Board of Governors. Bay and Iger will invest an additional $50 million to support the club’s future growth. Ohanian, the founder of 776 and Reddit, remains on Angel City’s board of directors, which also includes founding members Natalie Portman and entrepreneur Julie Uhrman. Paul, Weiss represented Hornblower Group, a global leader in world-class experiences and transportation, in its successful emergence from chapter 11. Under the approved restructuring plan, the company’s majority ownership transitioned to funds managed by Strategic Value Partners, LLC, and its affiliates, while Crestview Partners retained a significant minority position in Hornblower. Crestview also obtained sole ownership of Journey Beyond, a stand-alone operating unit of Hornblower and the leading experiential travel provider in Australia. Hornblower emerged from bankruptcy on July 5, having reduced its total debt by approximately $720 million and substantially increased its liquidity. Jüsto intends to leverage the new financing to continue the execution of its growth strategy, primarily in Mexico, further enhance operational efficiencies, and push the boundaries of conventional e-commerce models across the region.
