Kirkland & Ellis is advising CD&R and the consortium with Everest UK HoldCo Limited, an entity controlled by the Permira funds and the majority shareholder of Exclusive Networks, formed with a view to acquiring the shares of Exclusive Networks held by Everest UK HoldCo Limited and Olivier Breittmayer. The consortium will launch a simplified mandatory tender offer for the Exclusive Networks shares and will subsequently request the implementation of a squeeze-out if the legal conditions are met at the end of the offer. The proposed transaction values 100% of Exclusive Networks’ share capital at €2.2 billion on a fully diluted basis. The acquisitions are conditioned upon the receipt of customary regulatory approvals. Kirkland & Ellis is advising investment firm Wendel on a definitive partnership agreement relating to a strategic investment, which includes the acquisition of 75% of Monroe Capital LLC, a sponsoring program of up to $800 million to accelerate Monroe Capital’s growth and a GP commitment for up to $200 million. Wendel will pay $1.13 billion at the closing. Monroe management will continue to own 25% of the company post-closing. The transaction will dramatically expand Wendel’s asset management platform and rebalance its business model towards more recurring cash flows and growth and follows Wendel’s recent acquisition of IK Partners, a European leader in middle market private equity, as it seeks to build a scaled third-party asset management platform. Kirkland & Ellis advised Banijay Group (AMS: BNJ) and Betclic, the leading online sports betting and gaming operator in France, in connection with its offering of €1 billion in aggregate principal amount of senior secured notes as part of the €3.1 billion financing for its combination with Tipico, a sports betting and online gaming operator in Germany and Austria. Pending consummation of the acquisition, the proceeds from the offering of the notes will be held in a segregated bank account controlled by the bond issuer. Betclic signed a definitive agreement to acquire a majority stake in Tipico, and the acquisition is expected to close in mid-2026, subject to customary closing conditions and gambling regulatory approvals. The transaction is expected to position Betclic as one of Europe’s leading sports betting and gaming players, with Banijay Group’s revenue exceeding €6.4 billion and adjusted EBITDA of approximately €1.4 billion as a result thereof.
