Willkie advised Shamrock Capital in connection with a significant investment in Carnegie Dartlet Holdings, LLC, a leading, full-service marketing and enrollment strategy provider for non-profit higher education institutions. On February 15, Shamrock announced its investment in Carnegie to support the company’s next phase of growth. Carnegie helps educational institutions – small community colleges as well as large state and private universities – connect with prospective students and optimize enrollment through a suite of services including digital marketing strategies, research, and enrollment management solutions. Shamrock Capital is a Los Angeles-based investment firm with approximately $4.2 billion of assets under management. It invests exclusively in media, entertainment, communications, and related sectors through a multi-fund strategy centered on private equity investments, as well as ownership and financing of content and media rights. Willkie advised Monogram Capital Partners on its acquisition of a majority stake in Tru Fragrance & Beauty, the global beauty brand builder whose portfolio includes owned, licensed, and exclusive fragrance and beauty brands sold to national beauty and apparel retailers and direct to consumers. In addition to a branded portfolio that includes Le Monde Gourmand, Lake & Skye, Yellowstone, and Wrangler, Tru develops fragrance brands exclusively for retail partners. Monogram’s investment will serve to accelerate Tru's growth and scale, including through expanded distribution in the U.S., Canada, U.K., Europe, and beyond, the launch of new brands and licensing relationships, and complementary acquisitions. Willkie advised the Special Transaction Committee of Conduent Incorporated’s (Nasdaq: CNDT) board of directors in connection with the company’s repurchase of approximately $132 million in shares from Carl C. Icahn. On June 10, Conduent, a global technology-led business solutions and services company, announced that it entered into and consummated a share purchase agreement to repurchase all of the shares of the company’s common stock beneficially owned by Carl C. Icahn through certain of his affiliates at a purchase price of $3.47 per share. The aggregate purchase price for the repurchase is approximately $132 million. The transaction was unanimously recommended to Conduent’s board of directors by the Special Transaction Committee. Following the purchase, the Icahn parties no longer hold any Conduent common shares, and three Icahn representatives resigned from the Conduent board. On July 23, Invelvio, a healthcare education company, announced its acquisition of PCMA, a crisis management training and certification company. The acquisition enhances Intelvio’s existing behavioral health offerings and expands the company's overall healthcare training platform. Willkie previously advised Eden Capital on numerous transactions, including its acquisition of Phlebotomy Training Specialists and the add-on acquisition of Positive Psychology to form Intelvio, as well as on Intelvio’s subsequent acquisition of Classward. Eden Capital is a New York-based private equity firm that partners with founders and leaders of companies with strong growth prospects in technology, business services, and education.
