Willkie advised Lonepike Beteiligungen GmbH, a privately owned investment company, on the sale of all of its shares in MAGNA Real Estate GmbH to Versorgungswerk der Zahnärztekammer Berlin, the pension fund of the Berlin Dental Association. MAGNA is a real estate development company based in Hamburg that focuses on the development of office, residential and social real estate. Lonepike, owned by investor David Liebig, held 45% of all shares in MAGNA. Lonepike has now sold its interest in MAGNA to VZB and Liebig has resigned from the MAGNA management board. VZB is increasing its shareholding in MAGNA to 60%, with the remaining 40% share being held by the FOX Group, led by entrepreneur Jörn Reinecke. Willkie recently advised Conscio Holding GmbH (Conscio Group) on its acquisition of Gen-Plus GmbH & Co. KG, a technology and innovation expert for the pharmaceutical industry. Headquartered in Munich, Germany, Gen-Plus is an R&D and manufacturing expert for the pharmaceutical industry, from proof-of-concept to clinical trial samples and small batch GMP production. It has extensive experience in the key pharmaceutical technologies of patches and thin films, 2D and 3D printing of drugs, highly potent drugs and narcotics, hot melt extrusion, and tailored release profiles. Conscio Group is an independent network of service providers offering pharmaceutical analysis, bioanalytical testing, analytical R&D, clinical studies, biopharma analyses, QC analyses, batch release, and IMPD compilation. Conscio Group is backed by BBA Capital Partners, an independent owner-financed investment group. (El-Cab) on the sale of its shares to Amphenol Technologies Holding GmbH, an affiliate of Amphenol Corporation. El-Cab, headquartered in Owinska, Poland, has been present in the Polish and international market since 1996. El-Cab manufactures and sells various types of wire harness systems for a wide range of vehicles and devices, module systems and control boxes for vehicles and electronic assemblies. Willkie represented Time Manufacturing, a portfolio company of the Sterling Group, in the acquisition of the Ruthmann Group, a manufacturer of aerial work platforms in Germany and Italy. On February 12, Willkie client Time Manufacturing Company, a portfolio company of the Sterling Group, closed its acquisition of the Ruthmann Group, a manufacturer of aerial work platforms in Germany and Italy. The transaction was announced on January 6, 2021. Headquartered in Gescher-Hochmoor, Germany, the Ruthmann Group has a long history of manufacturing high-quality, truckmounted aerial work platforms in Europe, going to market under the brands Ruthmann, Steiger, Ecoline, and Bluelift. Time Manufacturing is a global designer, manufacturer, and distributor of aerial lifts primarily for the electric utility, telecommunications, infrastructure, and forestry sectors. Time Manufacturing goes to market via several brands, including the Versalift line of aerial lifts and digger derricks, the Aspen Aerials line of under-bridge inspection units, and the BrandFX line of fiberglass truck bodies. The Sterling Group is a Houston-based, middle market private equity firm that targets controlling interests in basic manufacturing, distribution and industrial services companies. Gantner provides integrated solutions for membership and visitor management and cashless payments, as well as for access control (doors, cabinets and lockers) and time recording for operational organization and security. Salto, headquartered in Spain with offices in 32 countries, is a global leader in the development and manufacturing of access control solution in critical safety sectors and is known for its innovative stand-alone and battery-powered electronic lock, the Salto Virtual Network (SVN). Salto’s diversified portfolio further includes software management, cloud solutions and mobile applications. It is expected that, with the addition of the Gantner portfolio, Salto will now have the combined strength and joint capacity of one million access points annually.
